Commercial Store Opening & Usage Agreement (UK)
(Professional Sellers / Business Lenders) This Commercial Store Opening and Usage Agreement ("Store Agreement") is entered into electronically between: Tooligo LTD, a company registered in England and Wales under company number 16599095, with its registered office at Flat 1, 31 Long Acre, London, England, WC2E 9LA ("Tooligo", "Platform", "we", "us"), and the business entity or self-employed trader registering as a professional seller on the Platform ("Store Owner", "Seller").
Tooligo and the Store Owner are referred to individually as a "Party" and together as the "Parties".
1. Purpose and Scope
1.1 This Store Agreement sets out the terms under which the Store Owner may list items and offer rental services on the Tooligo Platform for commercial or professional purposes.
1.2 This Agreement applies only to business or professional sellers. Consumer sellers are governed by Tooligo's standard Terms of Use.
1.3 Motor vehicles and real estate are excluded unless explicitly approved in writing by Tooligo.
2. Role of the Platform
2.1 Tooligo operates an online marketplace facilitating rental transactions between Store Owners and renters ("Renters").
2.2 Tooligo:
• is not a party to any rental agreement,
• does not own, inspect, store or control listed items,
• does not guarantee the quality, legality, safety or condition of items.
2.3 Rental agreements are concluded directly between the Store Owner and the Renter.
2.4 Tooligo is not liable for:
• defects, damage, loss or theft of items,
• unlawful or misleading listings,
• breaches of contract between users,
except where liability cannot be excluded under English law.
3. Store Opening & Verification
3.1 Only legally established businesses or self-employed traders may open a Store.
3.2 The Store Owner must provide accurate and up-to-date information, including:
• legal business name,
• company registration number (if applicable),
• VAT number (if applicable),
• registered address,
• authorised representative details.
3.3 Tooligo may conduct KYC, AML and business verification checks, including:
• identity verification,
• beneficial ownership checks,
• payment account verification.
3.4 Failure to complete verification may result in store suspension or closure.
4. Seller Obligations
4.1 Listings & Accuracy The Store Owner must ensure that:
• all listings are accurate, complete and non-misleading,
• items comply with UK law and safety requirements,
• they have the legal right to rent the listed items.
4.2 Delivery & Condition Items must be delivered:
• on time,
• in working condition,
• as described in the listing.
4.3 Defects & Liability The Store Owner is responsible for:
• defects present at delivery,
• defects arising during the rental period,
• fulfilling the Renter's statutory rights under UK law.
4.4 Insurance Unless otherwise stated:
• the Store Owner is responsible for insuring items,
• Tooligo does not act as an insurance provider.
5. Renter Obligations
Renters must:
• pay rental and platform fees,
• inspect items upon receipt,
• use items with reasonable care,
• return items on time and in agreed condition.
6. Payments, Fees & Deposits
6.1 Payments are processed via Stripe, a PCI-DSS compliant payment provider.
6.2 Tooligo charges a service fee (currently up to 20%) on each completed rental.
6.3 Funds may be held temporarily during the rental period and released after completion.
6.4 Security deposits may be required and managed via Stripe.
6.5 Tooligo may withhold or refund payments in cases of:
• disputes,
• suspected fraud,
• policy violations.
7. Taxes
7.1 The Store Owner is solely responsible for:
• VAT,
• income or corporation tax,
• invoicing obligations.
7.2 Tooligo does not provide tax advice and assumes no liability for Seller tax compliance.
8. Content & Intellectual Property
8.1 All Platform software, branding and content belong to Tooligo or its licensors.
8.2 By uploading content, the Store Owner grants Tooligo a worldwide, non-exclusive, royalty-free licence to use such content for Platform operations and marketing.
9. Prohibited Items
The following may not be listed:
• weapons and illegal goods,
• hazardous or unsafe items,
• counterfeit products,
• any items prohibited under UK law.
Tooligo may update the prohibited list at any time.
10. Ratings & Reviews
After each rental:
• parties may rate and review each other,
• reviews must be fair and lawful.
Tooligo may remove abusive or misleading reviews.
11. Data Protection
11.1 Tooligo processes personal data in accordance with:
• UK GDPR
• Data Protection Act 2018
11.2 Details are set out in the Privacy Notice, Cookie Policy and Data Security Statement.
12. Termination
12.1 Tooligo may suspend or terminate a Store immediately where:
• this Agreement is breached,
• illegal activity is suspected,
• fraud or misuse occurs,
• Platform security is endangered.
12.2 The Store Owner may terminate their Store subject to completion of ongoing rentals.
13. Limitation of Liability
To the fullest extent permitted by English law:
• Tooligo excludes liability for indirect or consequential loss,
• total liability shall not exceed fees paid to Tooligo in the preceding 12 months.
Nothing limits liability for fraud, death or personal injury caused by negligence.
14. Governing Law & Jurisdiction
This Agreement is governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
15. Acceptance & Effectiveness
This Agreement becomes effective when accepted electronically by the Store Owner. By accepting, the Store Owner confirms that they have read, understood and agreed to all terms.
