TOOLIGO TERMS OF USE (UK) – Membership & Platform Usage Agreement

These Terms of Use ("Terms") are entered into electronically between: Tooligo LTD, a company registered in England and Wales (Company No. 16599095) with its registered office at Flat 1, 31 Long Acre, London, England, WC2E 9LA ("Tooligo", "we", "us", "our"), and the individual user creating an account and using the Service ("User", "you", "your").
By creating an account or using the Service, you agree to these Terms.
1. Definitions
• Application: Tooligo's website and mobile app.
• Service: the marketplace and related services provided by Tooligo.
• Listing: an item listed for rent.
• Lender: a User who offers an item for rent (consumer or professional).
• Renter: a User who rents an item.
• Booking: a confirmed rental order made through the Service.
• Professional Seller / Store Owner: a business user offering rentals for commercial purposes (subject to separate "Commercial Store Terms" where applicable).
2. Scope and Role of Tooligo
2.1 Tooligo provides a digital marketplace enabling Lenders and Renters to connect and book rentals.
2.2 Tooligo is not a party to any rental agreement between a Lender and a Renter. The rental contract is formed directly between Users.
2.3 Tooligo does not own, inspect, store, maintain, transport or control listed items, and does not guarantee that items are safe, legal, defect-free or fit for a particular purpose. Responsibility remains with the Lender and Renter, subject to mandatory consumer law.
2.4 Nothing in these Terms limits any mandatory rights you may have under UK law, including the Consumer Rights Act 2015.
3. Eligibility, Registration and Account Security
3.1 You must be 18 years or older to use the Service. Tooligo is not intended for children.
3.2 You must provide accurate and up-to-date information and keep your account details current.
3.3 Account security: you are responsible for keeping your login credentials confidential. You must not allow others to use your account. If you suspect unauthorised access, contact us immediately at [email protected]
3.4 Tooligo may require additional verification (including identity, contact details, address, payment verification and risk checks) to maintain marketplace trust and comply with financial crime prevention requirements.
4. Payments, Stripe and Verification
4.1 Payments are processed by Stripe. Tooligo does not store your full card details.
4.2 You agree to comply with any identity verification, KYC/AML checks, sanctions screening or other compliance requirements imposed by Stripe or Tooligo.
4.3 Tooligo may suspend or restrict your account or a transaction if checks are not completed or raise reasonable concerns (e.g., suspected fraud, chargeback risk, misuse).
5. Listings and Prohibited Items
5.1 Listings must be accurate, lawful and not misleading. Each listing must relate to one item.
5.2 Listings must not include unlawful, offensive, discriminatory, defamatory, pornographic or IP-infringing content.
5.3 Prohibited items include (non-exhaustive): weapons, illegal drugs, counterfeit goods, unsafe goods, restricted items, and any item illegal to rent or possess under UK law. Tooligo may update prohibited items at any time.
5.4 Tooligo may remove or disable listings that breach these Terms or UK law.
6. Booking, Rental, Delivery and Returns
6.1 A Booking is created when the Renter confirms the booking and payment is successfully processed.
6.2 Delivery/collection terms are agreed between Users and shown at booking (or via Tooligo delivery options where available).
6.3 Renters must:
• take reasonable care of the item,
• use it only as intended and lawfully,
• return it on time in the same condition (fair wear and tear excepted).
6.4 If a Renter cannot return on time, they must request an extension. Late fees may apply, and the Renter authorises Tooligo to charge such fees from the stored payment method where applicable.
7. Fees, Payouts and Deposits
7.1 Tooligo charges:
• a service fee to Lenders, and
• a booking fee to Renters (if applicable), as displayed prior to booking.
7.2 Tooligo may hold funds during the rental period and release payouts to Lenders after deduction of fees.
7.3 Security deposits may apply depending on item category, value, risk signals and/or Lender settings. Deposits may be held and released via Stripe subject to damage/loss outcomes.
7.4 Tooligo may withhold, reverse or refund payments where necessary for disputes, suspected fraud, policy violations, regulatory compliance or technical errors.
8. Cancellations and Refunds
8.1 Cancellations are governed by the cancellation terms displayed in the Listing at the time of booking.
8.2 If a Lender cancels a booking, the Renter receives a full refund of the rental amount paid (subject to mandatory law).
8.3 Refunds are processed via the original payment method and processing times depend on Stripe and the payment provider.
9. Insurance / Protection
9.1 Tooligo may offer insurance or protection schemes for certain categories. Coverage terms (including excess/deductibles, exclusions and claims process) are set out in separate Insurance & Protection Terms.
9.2 Unless explicitly stated, Tooligo is not an insurer and does not guarantee coverage.
10. User Content and Intellectual Property
10.1 Users retain ownership of content they upload (photos, text, videos) but grant Tooligo a worldwide, non-exclusive, royalty-free licence to use, display, adapt and publish such content for operating and marketing the Service.
10.2 Users must not upload content that infringes third-party rights. Tooligo may remove infringing content.
11. Acceptable Use and Conduct
You must not:
• circumvent Tooligo fees by taking payments off-platform,
• engage in fraud, money laundering or identity misuse,
• harass or abuse other users,
• misuse personal data of other users,
• upload illegal content or attempt to bypass platform controls.
12. Data Protection and Privacy
12.1 Tooligo processes personal data in accordance with UK GDPR and the Data Protection Act 2018.

13. Suspension and Termination
Tooligo may suspend or terminate your account (temporarily or permanently) if:
• you breach these Terms,
• we suspect fraud, unlawful conduct or security risk,
• compliance requirements require it,
• you misuse the Service or damage Tooligo's reputation.
You may close your account via the Application, subject to completion of ongoing rentals, dispute handling and required record retention.
14. Disclaimers and Limitation of Liability
14.1 Tooligo provides the Service "as is" and does not guarantee uninterrupted availability.
14.2 To the maximum extent permitted by English law, Tooligo is not liable for indirect or consequential losses arising from user-to-user rentals.
14.3 Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under law.
15. Changes to the Terms
Tooligo may update these Terms from time to time. Updates will be published in the Application. Continued use after an update constitutes acceptance.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales. If a dispute arises, the parties will first attempt to resolve it informally. Where applicable, consumers may use UK Alternative Dispute Resolution (ADR) schemes. Otherwise, disputes are subject to the courts of England and Wales, with London as the forum for first-instance proceedings.
