TERMS OF USE – TOOLIGO
1. BACKGROUND
1.1 These terms and conditions (the "Terms") apply between you and Tooligo LTD, a company registered in England and Wales under company number 16599095, with its registered office at Flat 1, 31 Long Acre, London, England, WC2E 9LA ("Tooligo", "we", "us" or "our"), when you use the services provided through the Tooligo mobile application or web-based application (the "Application"). Tooligo operates a digital marketplace in the United Kingdom. Through the Application, Tooligo enables individuals or businesses wishing to rent out items ("Lenders") to connect with individuals or businesses wishing to rent such items ("Renters"). Together, Lenders and Renters are referred to as "Users", "you" or "your". The services provided by Tooligo are referred to as the "Service".
1.2 Tooligo provides only a marketplace and related payment and support services. Tooligo does not own, manufacture, store, inspect, maintain, transport, control or guarantee any item listed on the Service, and is not a party to any rental agreement entered into between a Lender and a Renter.
1.3 These Terms constitute the entire agreement between Tooligo and the User regarding use of the Service. Tooligo may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.
2. GENERAL ABOUT THE SERVICE AND REGISTRATION
2.1 To use the Service, Users must register an account. Registration is available to:
• natural persons aged eighteen (18) or older,
• or persons with verified parental or guardian consent,
• and legal entities acting through authorised representatives.
By registering, you confirm that you have read and accepted these Terms.
2.2 Users are responsible for ensuring that all information provided during registration and use of the Service is accurate, complete and kept up to date.
2.3 Payments are processed by Stripe, Tooligo's third-party payment service provider. Users agree to comply with all required identity verification, KYC, AML, sanctions screening and fraud-prevention checks. Tooligo may suspend or restrict access where such checks are not completed or are failed.
2.4 Nothing in these Terms affects any mandatory rights you may have as a consumer under UK law, including the Consumer Rights Act 2015.
3. LISTINGS
3.1 Only Users legally capable of entering into binding agreements may create Listings.
3.2 Listings must be written in English or the primary language of the country where the item is offered.
3.3 Listings may relate only to the rental of items via Tooligo. External marketing or unrelated promotional content is prohibited.
3.4 Each Listing must relate to one item only.
3.5 Lenders are solely responsible for ensuring Listings are accurate, lawful, complete and compliant with UK law.
3.6 Items must be placed in the correct category. Incorrect categorisation may result in exclusion from Tooligo's insurance or protection schemes.
3.7 Listings must clearly describe the item. Keyword-only titles, external links and unrelated business descriptions are not permitted.
3.8 Misleading, unrealistic or deceptive Listings are prohibited. Tooligo may remove such Listings at its discretion.
3.9 Listings must not contain unlawful, offensive, discriminatory, hateful, pornographic or intellectual-property-infringing content, nor relate to prohibited or unsafe items.
3.10 Users may not introduce their own contractual terms outside those provided by Tooligo.
3.11 Tooligo may edit, suspend or remove Listings to ensure compliance with these Terms or UK law.
4. CONDITIONS FOR RENTAL
4.1 Lenders must ensure items match their descriptions and are available at the agreed times.
4.2 Lenders are responsible for maintaining any insurance not expressly covered by Tooligo's protection or insurance arrangements.
4.3 Lenders are responsible for all applicable taxes arising from rental activity.
4.4 Renters must take reasonable care of items and return them in the same condition, allowing for fair wear and tear.
4.5 By completing a booking, Users confirm that they have read and agree to the applicable Tooligo Insurance & Protection Terms, available separately on the Application or website.
4.6 Renters accept the cancellation terms displayed in the Listing at the time of booking.
4.7 Lenders select cancellation terms when publishing Listings.
4.8 Deductibles ("excess") may apply depending on item category and protection coverage.
4.9 Late returns incur additional rental fees per commenced day. The Renter authorises Tooligo to charge stored payment methods.
4.10 If an item is not returned, Tooligo may charge a deposit up to the item's full replacement value.
4.11 Liability for loss or damage is assessed by Tooligo or its insurance partners.
4.12 Renters must reimburse reasonable costs arising from use (fuel, cleaning, consumables, fines).
4.13 Tooligo may require additional verification and may cancel rentals if verification is not completed or raises reasonable concerns.
4.14 Items must not be used for unlawful purposes or in breach of UK regulations.
5. RENTAL AND DELIVERY
5.1 A booking is created once the Renter confirms and pays for the rental.
5.2 Delivery or collection arrangements are agreed between the Lender and the Renter.
6. PAYMENT
6.1 Payments are made at the time of booking and processed securely via Stripe.
6.2 Tooligo holds funds during the rental period and releases payouts to Lenders after deduction of applicable fees.
6.3 If a Lender fails to provide the item, the Renter is entitled to a full refund.
6.4 Refunds follow the applicable cancellation policy.
6.5 Improper chargebacks may result in account suspension or termination.
6.6 Tooligo may charge VAT on its fees where required by UK law.
7. SERVICE FEES
7.1 Tooligo charges:
• a service fee to Lenders (currently 20% of the rental amount), and
• a booking fee to Renters, displayed prior to booking.
7.2 Circumventing Tooligo's payment system is prohibited and may result in termination.
8. CANCELLATION AND COMPLAINTS
8.1 Renters may cancel bookings in accordance with Listing cancellation terms.
8.2 If a Lender cancels, the Renter receives a full refund.
8.3 Bookings may be cancelled due to force majeure.
8.4 Tooligo may offer mediation. Users agree to accept Tooligo's determination if mediation is used.
8.5 Insurance disputes must first be raised with the insurer.
8.6 Consumers may escalate complaints via UK ADR bodies where applicable.
9. USER RESPONSIBILITIES
Users must:
• use the Service lawfully,
• safeguard account credentials,
• provide accurate information,
• not misuse personal data,
• not engage in fraud, money laundering or illegal conduct.
Tooligo may suspend or terminate accounts for breaches of these Terms or UK law.
10. TOOLIGO'S RESPONSIBILITY
The Service is provided "as is". Tooligo does not guarantee uninterrupted availability or accuracy of Listings or User-generated content.
11. LIMITATION OF LIABILITY
Nothing in these Terms limits liability that cannot be excluded under UK law, including liability for death, personal injury, fraud or statutory consumer rights.
12. TERMINATION
Tooligo may restrict or terminate access at its discretion for misuse, fraud, legal risk, regulatory requirements or breach of these Terms.
13. PERSONAL DATA
Tooligo processes personal data in accordance with the UK GDPR and the Data Protection Act 2018.

Users may lodge complaints with the Information Commissioner's Office (ICO).
14. INTELLECTUAL PROPERTY
All intellectual property rights in the Application and Service belong to Tooligo or its licensors.
15. RIGHT OF WITHDRAWAL
By requesting immediate access to the Service, Users acknowledge that the statutory right of withdrawal may be lost once performance of the Service has begun, in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
16. OTHER PROVISIONS
These Terms are governed by the laws of England and Wales.
17. DISPUTE RESOLUTION
Disputes shall first be resolved informally, then via UK ADR where applicable, and finally by the courts of England and Wales, with London courts having jurisdiction.
